Inission acquires the Lithuanian company Selteka

Inission AB (“Inission”) has signed an agreement to acquire 100% of UAB Selteka (“Selteka”). Selteka is a well-respected EMS (Electronics Manufacturing Services) company with operations located in Kaunas, Lithuania. Through the acquisition, Inission expands its geographical presence in the Baltics and thereby strengthens its position in Northern Europe.

The agreement was signed on June 30, 2025 and the takeover is on July 1, 2025. According to the agreement, the price for 100% of the shares in Selteka amounts to EUR 8 million. The payment for the shares upon takeover is financed with a bank loan of EUR 4 million, EUR 2 million in cash and payment with own newly issued shares corresponding to EUR 2 million.

The number of newly issued shares amounts to 636,940. After the new issue, the total number of shares will be 22,793,797. The share capital increases from the current SEK 923,814 to SEK 950,375. The dilution effect amounts to 2.8%.

Selteka is a privately owned EMS company in Kaunas, Lithuania, with approximately 280 employees. The company was founded in 1956 and offers services within electronics production, testing and assembly. The turnover for 2024 was approximately EUR 16 million with an EBITDA-margin of 8.9%. Strategic Rationale
The acquisition of Selteka is part of Inission’s long-term growth plan and strengthens its presence in Northern Europe. Each acquisition adds new expertise and strengthens the joint offering. Selteka’s local presence, modern production and experienced staff complement Inission’s existing structure. The company also has a loyal customer base in areas with continued high demand. As part of Inission, Selteka gains access to a larger network, more resources and the opportunity to grow further under a common brand, with local presence.
